1. General Terms of Use

ClearBid Inc. ("ClearBid", "we", "us", "our") operates a platform that connects homeowners with contractors for home renovation and improvement projects. By creating an account, submitting a project, or placing a bid, you ("User", "you") agree to these Terms of Service.

These terms constitute a legally binding agreement between you and ClearBid. If you do not agree to these terms, you must not use the platform.

1.1 Eligibility

You must be at least 18 years of age and legally capable of entering into binding contracts in your jurisdiction. Contractors must hold valid licenses and insurance as required by their provincial or municipal regulations.

1.2 Account Responsibility

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to provide accurate and complete information and to update it as needed.

1.3 Modifications

ClearBid reserves the right to modify these Terms at any time. Material changes will be communicated via email or platform notification. Continued use of the platform after changes take effect constitutes acceptance of the updated terms.

2. How ClearBid Works

ClearBid uses artificial intelligence technology to analyze project photos and descriptions submitted by homeowners. Our AI generates measurement estimates and scope assessments that are provided to contractors alongside the project listing. This enables contractors to submit informed, competitive bids based on detailed project data.

Important: AI-generated measurements and estimates are provided as reference tools to assist with pricing. They are not guarantees of exact measurements. Contractors are expected to exercise professional judgment and request additional information through the platform if the provided data is insufficient for accurate bidding.

2.1 The Bidding Process

  1. Project Submission: Homeowners describe their renovation needs, upload photos, and answer project-specific questions. Our AI processes this data to generate measurement estimates.
  2. Contractor Review: Registered contractors browse open projects with full access to descriptions, photos, AI-generated measurements, and homeowner answers.
  3. Bid Submission: Contractors submit their best price and timeline based on the available information. Contractors may request additional information from the homeowner through the platform before bidding.
  4. Bid Acceptance: Homeowners compare bids and select the contractor that best fits their needs. Once a bid is accepted, the quoted price becomes binding.
  5. Project Completion: The contractor completes the work as quoted. The homeowner confirms satisfaction and funds are released.

3. Contractor Terms & Conditions

By creating a contractor account on ClearBid, you agree to the following terms in addition to the General Terms of Use. These terms are a condition of your access to the platform and its project listings.

3.1 Account Creation Agreement

By registering as a contractor on ClearBid, you acknowledge and agree to all terms outlined in this document, including but not limited to the Bid Commitment Policy (Section 4), the Non-Circumvention Agreement (Section 5), and the Liability Disclaimer (Section 6). Your account creation constitutes acceptance of these terms.

3.2 Professional Standards

Contractors are expected to maintain professional standards of work, carry appropriate insurance, and comply with all applicable building codes, provincial regulations, and municipal bylaws. ClearBid reserves the right to suspend or terminate contractor accounts that receive repeated complaints or demonstrate unprofessional conduct.

3.3 Communication

All communication between contractors and homeowners regarding projects discovered on ClearBid must occur through the ClearBid platform. Direct communication outside the platform for the purpose of circumventing ClearBid's fee structure is strictly prohibited.

3.4 Platform Fees

ClearBid charges a service fee on completed projects. By accepting a project, you agree to ClearBid's current fee schedule as outlined at the time of bid acceptance. Fee structures are subject to change with notice.

4. Bid Commitment Policy

The bid commitment policy is a cornerstone of the ClearBid platform. It ensures transparency for homeowners and accountability for contractors.

Key rule: Once a contractor's bid is accepted by a homeowner, the quoted price is final and binding. The contractor is obligated to complete the described work at the agreed price.

4.1 Price is Binding

When you submit a bid and it is accepted, you enter into a binding agreement to perform the work described in the project listing at the price you quoted. No additional charges may be imposed on the homeowner unless explicitly agreed to in writing by both parties through the ClearBid platform.

4.2 Due Diligence Before Bidding

It is the contractor's sole responsibility to thoroughly review all available project information before submitting a bid. This includes:

  • Project descriptions and homeowner answers
  • All uploaded photos
  • AI-generated measurement estimates
  • Any additional information obtained through the "Request More Info" feature

4.3 Request More Information

If the information provided is insufficient to produce an accurate bid, contractors must use the "Request More Info" button available on each project listing. This sends a request to the ClearBid admin, who coordinates with the homeowner to provide the requested details. Failure to request information before bidding does not constitute grounds for a price increase after bid acceptance.

4.4 Contractor Responsibility for Extras

Any additional costs or scope overruns that arise during the project and are attributable to the contractor's failure to adequately review available information, or failure to request clarification before bidding, are the contractor's sole financial responsibility. This includes but is not limited to:

  • Material cost increases that were foreseeable at the time of bidding
  • Labour overruns due to underestimation of project complexity
  • Costs arising from failure to account for information clearly presented in project listings
  • Errors in the contractor's own measurement or estimation process

The only exception to this policy is when the homeowner materially changes the scope of work after bid acceptance, in which case a formal change order must be processed through the ClearBid platform.

4.5 Consequences of Non-Compliance

Contractors who fail to honor their accepted bid price may face:

  • Suspension or permanent removal from the ClearBid platform
  • Forfeiture of any escrow funds held for the project
  • Negative ratings visible to future homeowners
  • Legal action for breach of contract

5. Non-Circumvention Agreement

This non-circumvention clause is a material condition of contractor registration on ClearBid. By creating an account, you acknowledge and agree to the following:

Binding commitment: By creating a contractor account on ClearBid, you agree that you will not circumvent, bypass, or attempt to avoid the ClearBid platform for any project or client relationship that originated through ClearBid.

5.1 Scope of Non-Circumvention

You agree not to, directly or indirectly:

  • Solicit, contact, or conduct business with any homeowner you were introduced to through ClearBid outside of the ClearBid platform
  • Encourage or facilitate any homeowner to cancel or abandon a ClearBid project in order to engage your services privately
  • Provide personal contact information (phone number, email, social media, business address) to homeowners for the purpose of conducting transactions outside of ClearBid
  • Accept payment directly from homeowners for work on projects that originated on ClearBid
  • Use information obtained through ClearBid (including homeowner names, addresses, project details, or contact information) to market your services directly

5.2 Duration

This non-circumvention obligation applies for the duration of your ClearBid account and for a period of twenty-four (24) months following account closure or termination for any homeowner relationship that originated through the ClearBid platform.

5.3 Remedies

If ClearBid determines that a contractor has violated this non-circumvention agreement, ClearBid reserves the right to:

  • Immediately terminate the contractor's account
  • Pursue legal action for breach of contract and recovery of lost fees
  • Seek injunctive relief to prevent further violations
  • Claim damages equal to the platform fee that would have been payable on any circumvented transaction, plus any consequential damages

5.4 Exceptions

This non-circumvention agreement does not apply to homeowner-contractor relationships that existed prior to both parties' use of ClearBid, provided that the contractor can demonstrate the pre-existing relationship with documented evidence.

6. Liability Disclaimer

Please read this section carefully. It limits ClearBid's liability to the fullest extent permitted by applicable law.

ClearBid is a platform, not a contractor. ClearBid connects homeowners with independent contractors. We do not perform, supervise, or guarantee any renovation or construction work. ClearBid is not liable for any outcome, injury, damage, loss, delay, or dispute arising from or related to any project.

6.1 No Liability for Work Performed

ClearBid is not responsible for the quality, safety, legality, timeliness, or outcome of any work performed by contractors. All contractors on the platform are independent businesses, not employees, agents, or subcontractors of ClearBid. By using ClearBid, you acknowledge and agree that:

  • ClearBid does not supervise, direct, or control any contractor's work
  • ClearBid makes no warranties or representations about any contractor's skill, qualifications, licensing, insurance, or work quality
  • ClearBid is not responsible for any property damage, personal injury, death, or any other harm that occurs during, as a result of, or in connection with any project
  • ClearBid is not responsible for any defective work, incomplete work, delays, cost overruns, or other issues arising from a contractor's performance

6.2 No Liability for AI Estimates

ClearBid's AI-generated measurement estimates and project assessments are provided "as is" and for reference purposes only. ClearBid does not warrant the accuracy, completeness, or reliability of any AI-generated data. Neither homeowners nor contractors should rely solely on AI estimates for pricing, planning, or decision-making. ClearBid is not liable for any loss or damage arising from reliance on AI-generated estimates.

6.3 No Liability for Disputes

ClearBid is not a party to any agreement between homeowners and contractors. Any dispute regarding pricing, scope, quality of work, timelines, payment, or any other matter is solely between the homeowner and the contractor. ClearBid may, at its sole discretion, offer mediation services but is under no obligation to do so.

6.4 Indemnification

You agree to indemnify, defend, and hold harmless ClearBid Inc., its directors, officers, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to:

  • Your use of the ClearBid platform
  • Any project you participate in as a homeowner or contractor
  • Any breach of these Terms of Service
  • Any violation of applicable law
  • Any dispute between homeowners and contractors

6.5 Limitation of Liability

To the maximum extent permitted by law, ClearBid's total liability to any user for any claim arising out of or relating to the use of the platform shall not exceed the total fees paid by the user to ClearBid in the twelve (12) months preceding the event giving rise to the claim. In no event shall ClearBid be liable for any indirect, incidental, special, consequential, or punitive damages.

6.6 Assumption of Risk

Both homeowners and contractors acknowledge that home renovation and construction projects involve inherent risks, including but not limited to property damage, personal injury, financial loss, and delays. By using the ClearBid platform, you voluntarily assume all such risks and release ClearBid from any liability related thereto.

7. Privacy & Data

ClearBid collects and processes personal information as necessary to operate the platform, including names, email addresses, phone numbers, project details, photos, and location data. Your data is used to facilitate project matching, bidding, and communication between homeowners and contractors.

7.1 Data Usage

Project photos and descriptions may be processed by AI systems to generate measurement estimates. By submitting project data, you consent to this processing. ClearBid does not sell your personal data to third parties.

7.2 Data Retention

ClearBid retains project data and account information for the duration of your account and for a reasonable period thereafter for legal and operational purposes.

8. Governing Law & Jurisdiction

These Terms of Service are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes arising under these terms shall be subject to the exclusive jurisdiction of the courts of Ontario, Canada.
